Introduction

We recommend that you read these Terms of Service carefully before registering. The Terms of Service, together with the Privacy Policy, constitute the agreement (the "Agreement") governing the relationship between the user (the "User") and NextHub Digital AG, with registered office at Via Giovan Battista Pioda 8, 6900 Lugano, company number CHE-332.633.398 (hereinafter also referred to as "NEXT HUB DIGITAL").

The Terms of Service are general contractual terms, legally binding from the moment the Agreement is concluded, which govern access to and registration for the digital initiatives.

This document (together with the Privacy Policy) is deemed to be unconditionally and irrevocably accepted when the User explicitly confirms the Terms of Service during registration.

If the User does not wish to accept these Terms of Service, in whole or in part, the User is asked to leave the Site and discontinue registration.

1. Definitions

For the purposes of these Terms of Service, the following terms, when capitalised, shall have the following meanings:

• "User": the person who registers as a Registered User.

2. Purpose

2.1 NextHub Digital AG acts as a remote facilitator between the supply of and demand for promotional initiatives, discounts and other offers. NextHub Digital AG and the entities that own the initiatives (the "Initiative Owners") act independently and in their own name. NextHub Digital AG is therefore not responsible for the correctness of any activity carried out by the Initiative Owners, as such activities are attributable exclusively to the Initiative Owners.

2.2 Registration for the digital initiatives is voluntary. The User is presumed to be of legal age and to have full legal capacity or, if a minor or lacking legal capacity, to be duly authorised by the person designated by law for that purpose. If the User wishes to receive digital initiatives from third parties (partners of NEXT HUB DIGITAL), the User must explicitly accept this possibility by ticking a separate box, thereby also authorising the receipt of the related communications.

3. Registration

3.1 To access the services reserved for registered Users, the User must register by entering the required data (for example, phone number, first name, last name, date of birth, city, postcode) and complete the indicated registration process.

3.2 Failure to complete the mandatory fields will prevent access to the services reserved for registered users.

3.3 The User declares that the personal data provided is truthful and assumes full civil and criminal liability for any false information.

3.4 The User undertakes to indemnify NEXT HUB DIGITAL against any loss, damage, liability, cost or expense arising from the unlawful use of other people's personal data.

3.5 NEXT HUB DIGITAL reserves the right to cancel a registration without having to give reasons.

3.6 If the User enters third-party data, the User assumes full responsibility for its accuracy.

4. Changes to the Terms of Service

These Terms of Service may be amended or supplemented to reflect technical or operational changes. We recommend consulting this document periodically to stay up to date.

5. Interpretation

Technical and IT terms contained in these Terms of Service shall be interpreted according to their common and current meaning in the relevant IT field.

6. Intellectual property

6.1 All intellectual property rights relating to the Sites belong exclusively to NEXT HUB DIGITAL.

6.2 The reproduction, public communication, modification and any other use of content owned by NEXT HUB DIGITAL is prohibited, except for private and personal use.

6.3 All other names, signs or symbols appearing in NEXT HUB DIGITAL communications may be trademarks of their respective owners. Unauthorised use may constitute an infringement and be subject to legal action.

7. Limitation of liability

7.1 NEXT HUB DIGITAL is responsible for protecting the personal data it collects and processes, in accordance with applicable privacy regulations. However, it is not responsible for the quality, performance or content of the digital initiatives offered. The User releases NEXT HUB DIGITAL from any liability in connection with the digital initiatives offered by its partners.

8. User responsibilities

Any breach of these Terms of Service will result in the immediate termination of the Agreement and the cancellation of the User's registration.

9. Partial invalidity or ineffectiveness of the Terms of Service

If one or more provisions of these Terms of Service are found to be void, voidable, invalid or unenforceable, this shall not affect the validity of the remaining provisions, which shall remain in full force and effect.

10. Use of trademarks and disclosure of data to third parties

All names, trademarks, logos and trade names on the Site are the exclusive property of their respective owners. Their use by NEXT HUB DIGITAL is solely for descriptive, informative and comparative purposes and does not imply any affiliation, sponsorship or endorsement by the owners of the trademarks mentioned.

The User also acknowledges and accepts that, in certain cases and only if the User has given specific consent by ticking the corresponding box ("checkbox") during registration or when submitting a request, the personal data provided may be disclosed to third parties, such as vehicle manufacturers, official dealers or other business partners. These third parties may contact the User directly to provide information, commercial offers, quotes or proposals relating to their products or services.

In the absence of such specific consent, no personal data will be disclosed to these parties.

11. Governing law and arbitration

The interpretation and performance of these Terms of Service, as well as the relationship between the parties, are governed by Swiss law, excluding the rules of private international law of that jurisdiction.
